Terms of service

1. Scope of Services
Ardent GSI Systems™ provides consulting, backend delivery, recruiting, and SaaS-based system licensing. Services may include but are not limited to:

Proprietary systems (PowerPipeline™, SmartSetter, Pulse OS, CloserCommand™, VA Academy, CoachStack™)

Custom automation builds, SOPs, dashboards, and fulfillment logic

Recruiting and consulting support (per signed agreements)

Delivery begins upon execution of the Master Services Agreement (MSA) or first payment.

2. Payment Terms
2.1 Commitment – You agree to pay the full program or licensing fee as outlined in your signed agreement. HST will be added where required.
2.2 Payment Schedule – Payment may be due upfront, monthly, or by installment, as defined in your MSA. At least one payment must be received before services begin.
2.3 Authorization – You authorize Ardent GSI Systems™ to charge your card/account for agreed fees, including recurring MRR for SaaS licensing.
2.4 No Chargebacks – You waive the right to dispute or reverse charges. Attempting to do so constitutes a material breach, triggering enforcement of the full balance plus legal costs.
2.5 Late Payments – A 5% late fee applies after a 5-business-day grace period. Services and access will be suspended until paid.
2.6 Collections & Legal – Balances unpaid after 10 business days may be sent to collections and/or escalated to legal action under Ontario law. You are responsible for all legal and recovery costs.
2.7 Preemptive Buyout / Card Block – If you attempt to cancel, block payment, or buy out early, Ardent reserves the right to charge immediately for the remaining balance.

3. Refund & Termination Policy
All sales are final and non-refundable. If you terminate early, all outstanding fees remain due. Ardent reserves the right to terminate immediately for misuse, breach, or misconduct (see MSA 9.7).

4. Delivery Timeline
Services begin promptly following agreement execution and/or first payment. Clients waive any right to “cooling-off” periods.

5. Taxes
All prices are exclusive of HST. Clients are responsible for all applicable taxes in their jurisdiction.

6. Media Release
By engaging services, you grant Ardent GSI Systems™ a perpetual license to use your name, testimonials, screenshots, and likeness for marketing, training, and case studies unless you opt out in writing prior to delivery.

7. Risk & Liability
Ardent provides consulting, SaaS tools, and backend systems. You accept responsibility for implementation, compliance, and business outcomes. Ardent is not liable for indirect damages, lost profits, or misuse of systems by your team.

8. Intellectual Property
All content, programs, SOPs, systems, and materials remain the exclusive property of Ardent GSI Systems™ / Adam Gould. You are granted internal-use access only. Resale, sublicensing, or replication without written consent is prohibited.

9. Service Obligation
Failure to engage, attend calls, or utilize deliverables does not cancel your payment obligations.

10. SaaS Continuation
Post-engagement, continued access to PowerPipeline™, SmartSetter, Pulse OS, CloserCommand™, or other systems requires a monthly licensing agreement. Rates range $300–$500/system/month, or $999/month for full access (see Appendix C of the MSA). Unauthorized post-term use constitutes a material breach.

11. Governing Law
This agreement is governed by the laws of Ontario, Canada. Disputes shall be resolved via arbitration in Ontario, escalating to court if necessary.

12. Final Terms
No verbal changes are valid. All modifications must be in writing. Electronic signatures and payments are fully enforceable under Ontario law.
